Engleza juridica/ Negotiating a contract

START ENGLISHWatch, listen, speak. Tips and tricks about English. (www.engleza-de-afaceri.ro).

In my previous legal English articles I have introduced contracts and the clauses of a contract and how  to apply them in a specific agreement.
The contract formation process typically involves negotiating the terms and conditions of the agreement. Negotiating can be carried out face-to-face or in writing, or both, with the use of contract templates and term sheets.
When negotiating a contract it is common to start out with an existing contract template which comprises (includes) the terms and conditions a contract should have. The contract template is like a blueprint of the things that are usually included in such an agreement.
The term sheets are used to keep track of the negotiated items and then to transfer them in the contract. While doing so, be very careful about the language you use in the contract because the process of taking notes in the term sheet involves using informal language and short forms which are not appropriate in a contract. Also keep good notes of all discussions and the emails regarding the items in the contract.
